1. Who We Are

HireHelper.ai (“HireHelper.ai,” “we,” “us,” or “our”) operates a service that helps clients define work, connect with specialized freelance talent, organize project communication, and manage delivery-related workflows.

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use the Services.

If you use the Services on behalf of a company, organization, or other legal entity, you represent and warrant that you are authorized to bind that entity to these Terms, and “you” includes that entity.

3. Business Use and Role of HireHelper.ai

The Services are intended for business and professional use.

HireHelper.ai may provide structured project intake, specialist introductions, communication tools, optional operational or project support, and payment-related workflows.

Unless HireHelper.ai expressly agrees otherwise in writing, HireHelper.ai is not the employer, agent, partner, or legal representative of any client or specialist, and is not itself the direct provider of independent specialist services or deliverables created for a project.

Any project work, delivery commitments, deadlines, scope, rates, and commercial terms must be confirmed between the relevant parties before work starts, whether through the Services or in a separate written agreement.

4. Accounts and Accurate Information

You agree to provide accurate, current, and complete information when you submit an inquiry, create an account, create a profile, post a project, or otherwise use the Services.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You must promptly update your information if it changes.

We may suspend or restrict access if information appears inaccurate, incomplete, misleading, or creates legal, security, trust, or operational risk.

5. Project Inquiries, Specialist Review, and No Guarantee

Submitting a project brief, inquiry, or profile does not guarantee acceptance, review, a specialist introduction, project award, timeline, payment outcome, or ongoing access to the Services.

We may decline, pause, remove, or limit any inquiry, profile, project, communication, or user at our discretion where we reasonably believe it is necessary for quality, safety, legal compliance, abuse prevention, business fit, or operational reasons.

Any estimates, suggestions, matching signals, optional support, or recommendations provided through HireHelper.ai are informational and do not constitute a guarantee of results, availability, suitability, or success.

6. Client Responsibilities

If you use the Services as a client, you agree to:

• provide a lawful, accurate, and non-misleading description of the work;
• provide the information, access, approvals, and feedback reasonably necessary to move the project forward;
• respect agreed timelines, review windows, payment terms, and communication expectations;
• only upload or share materials that you have the right to use and share;
• not request work that is unlawful, infringing, deceptive, discriminatory, abusive, or otherwise prohibited; and
• pay all agreed amounts, fees, and approved charges when due.

7. Specialist Responsibilities

If you use the Services as a specialist, contractor, freelancer, advisor, or service provider, you agree to:

• provide truthful information about your identity, background, skills, availability, and work history;
• perform services professionally, lawfully, and in accordance with the agreed scope and timeline;
• communicate accurately about progress, risks, blockers, and changes in scope;
• respect confidentiality, intellectual property rights, and data protection obligations; and
• issue invoices, submit time, or request payment only for work actually performed and properly authorized.

Specialists remain independent service providers unless a separate written agreement expressly states otherwise.

8. Fees, Payments, Limits, Invoices, and Taxes

HireHelper.ai may charge platform fees, service fees, coordination fees, payment processing fees, or other charges. Any applicable fee will be disclosed before it is incurred or charged.

Where payment features are made available through the Services, you agree to use approved payment methods and payment channels unless HireHelper.ai has expressly authorized a different arrangement in writing.

For hourly work, time limits, review periods, approval expectations, and billing cadence should be agreed before work begins. For fixed-scope work, payment milestones, acceptance expectations, change handling, and delivery assumptions should be agreed before work begins.

We may delay, hold, reverse, refuse, or restrict payments, payouts, withdrawals, credits, or releases where reasonably necessary to investigate fraud, chargebacks, abuse, disputes, legal issues, sanctions, identity or security concerns, suspected Terms violations, or payment processor instructions.

You are responsible for any taxes, duties, levies, withholding obligations, or reporting obligations that apply to you in connection with your use of the Services, except taxes based on HireHelper.ai’s net income.

If a payment is disputed, charged back, reversed, or fails, we may recover the amount from you by lawful means, including offset, re-billing, suspension, or withholding of related funds.

9. No Circumvention and Off-Platform Dealing

You must not use HireHelper.ai to identify, contact, or engage another user and then bypass the Services in a way that avoids agreed fees, protections, payment controls, or platform rules for an opportunity or project introduced or materially facilitated through HireHelper.ai, unless HireHelper.ai has given prior written permission.

You also must not request or encourage payment outside approved channels where HireHelper.ai requires payment to be handled through the Services.

A breach of this section is a material breach of these Terms.

10. Project Communications and Operational Support

The Services may include messaging, file sharing, project updates, support, or optional operational or project coordination. You agree to use these features responsibly and only for legitimate project-related purposes.

HireHelper.ai may review communications, files, project data, and workflow information where reasonably necessary to provide support, investigate abuse, address disputes, protect users, enforce these Terms, or comply with law.

Any optional project or operational support provided by HireHelper.ai is advisory or coordinative in nature unless we expressly agree in writing to take on a different role.

11. Confidentiality

If you receive confidential information through the Services, you must protect it and use it only for the purpose for which it was disclosed.

You must not disclose another party’s confidential information without authorization, except where disclosure is required by law.

Confidential information does not include information that is publicly available without breach, was already lawfully known, was lawfully obtained from another source, or was independently developed without use of confidential information.

Additional confidentiality or nondisclosure terms may be agreed for a specific project, and those additional terms will govern that project to the extent of any conflict.

12. Intellectual Property and Ownership

HireHelper.ai and its licensors own all rights, title, and interest in the Services, including the website, platform design, workflows, branding, logos, text, graphics, software, content, and all related intellectual property, except for user-submitted content and project deliverables owned by others under applicable agreements.

You may not copy, reproduce, republish, scrape, distribute, modify, sell, license, reverse engineer, or exploit any part of the Services except as expressly allowed by us in writing or by mandatory law.

As between a client and specialist, and unless otherwise agreed in writing, the client will own the final project deliverables created specifically for the client and fully paid for under the applicable project terms.

However, each party retains ownership of its pre-existing materials, tools, frameworks, code libraries, templates, know-how, processes, trademarks, and other background intellectual property. To the extent background intellectual property is embedded in a final deliverable, the owner grants the other party a non-exclusive license to use it as reasonably necessary to use the deliverable for its intended business purpose.

You grant HireHelper.ai a non-exclusive, worldwide, royalty-free license to host, use, reproduce, adapt, display, transmit, and process content and materials you submit through the Services to operate, improve, support, secure, and provide the Services and to fulfill legal obligations.

13. User Content and Conduct

You are solely responsible for content, data, files, project briefs, reviews, messages, time entries, deliverables, and other materials you submit, share, upload, or send through the Services.

You must not:

• submit false, deceptive, or misleading information;
• infringe or misuse another person’s intellectual property, privacy, publicity, or contractual rights;
• upload malware, viruses, malicious code, or harmful scripts;
• interfere with the security, integrity, or performance of the Services;
• attempt to gain unauthorized access to accounts, systems, or data;
• harass, threaten, abuse, exploit, or discriminate against other users;
• use the Services for spam, scraping, data harvesting, or unauthorized automation;
• use the Services to support unlawful, fraudulent, or harmful conduct; or
• circumvent restrictions, moderation decisions, payment controls, or safety processes.

We may remove or restrict any content or account that violates these Terms or creates risk to users, HireHelper.ai, or third parties.

14. Third-Party Services

The Services may integrate with or link to third-party tools, websites, payment processors, communication providers, analytics services, hosting providers, or other external services.

Your use of third-party services may be subject to separate third-party terms and privacy policies.

HireHelper.ai is not responsible for third-party services, content, availability, or conduct, except to the extent required by mandatory law.

15. Suspension, Restriction, and Termination

We may suspend, restrict, or terminate your access to some or all of the Services, remove content, cancel or pause transactions, or place limits on activity where we reasonably believe it is necessary for safety, abuse prevention, legal compliance, security, fraud prevention, nonpayment, unresolved disputes, or enforcement of these Terms.

You may stop using the Services at any time.

Any provisions of these Terms that by their nature should survive termination will survive, including provisions relating to payments, confidentiality, intellectual property, disclaimers, liability limitations, indemnity, dispute-related rights, and enforcement.

16. Disclaimers

The Services are provided on an “as is” and “as available” basis.

To the fullest extent permitted by law, HireHelper.ai disclaims all express, implied, statutory, and other warranties, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, uninterrupted operation, or results.

HireHelper.ai does not guarantee that the Services will always be available, secure, error-free, timely, accurate, complete, or suitable for your needs.

HireHelper.ai does not guarantee that any specialist, client, project, lead, brief, estimate, timeline, payment flow, or commercial opportunity will meet your expectations or produce any particular result.

17. Limitation of Liability

To the fullest extent permitted by law, HireHelper.ai and its directors, officers, employees, contractors, affiliates, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or lost profit damages, or for any loss of data, reputation, business opportunity, goodwill, or anticipated savings, arising out of or related to the Services, even if advised of the possibility of such damages.

To the fullest extent permitted by law, HireHelper.ai’s total aggregate liability arising out of or relating to the Services will not exceed the greater of: (a) the total fees actually paid by you to HireHelper.ai in the six months preceding the event giving rise to the claim; or (b) one hundred U.S. dollars (USD 100).

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

18. Indemnity

You agree to defend, indemnify, and hold harmless HireHelper.ai and its directors, officers, employees, contractors, affiliates, and service providers from and against any claims, actions, liabilities, damages, judgments, losses, costs, and expenses, including reasonable legal fees, arising out of or related to:

• your use or misuse of the Services;
• your violation of these Terms;
• your content, data, project materials, or communications;
• your infringement or violation of any rights of another person or entity; or
• any dispute between you and another user, client, specialist, or third party.

19. Changes to the Services and These Terms

HireHelper.ai may modify, suspend, or discontinue any part of the Services at any time.

We may also update these Terms from time to time. The updated version becomes effective when posted on HireHelper.ai or otherwise communicated to you, unless a different effective time is stated.

Your continued use of the Services after an update means you accept the updated Terms.

20. General

If a separate written agreement, statement of work, order form, project agreement, or other specific terms apply to a particular engagement, those terms will govern that engagement to the extent of any conflict with these Terms.

If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect.

Our failure to enforce any provision is not a waiver of our rights.

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer these Terms as part of a reorganization, merger, acquisition, sale of assets, or by operation of law.
